1. Service Description
YeboGuest ("the Service") is a cloud-based restaurant reservation management platform operated by Yebo-AI (Pty) Ltd ("YeboGuest", "we", "us", "our"), a company registered in the Republic of South Africa. The Service provides table grid management, a guest-facing booking widget, AI-powered booking assistance, sentiment analysis, guest research, review monitoring, and email notifications.
2. Acceptance of Terms
By creating an account, subscribing to, or using the Service, you ("the Subscriber") agree to be bound by these Terms of Service. If you do not agree, you must discontinue use immediately and close your account. These Terms also apply to any guests who interact with the Service through your booking widget.
3. Subscription and Billing
- Free trial: New Subscribers receive a 60-day free trial with full access to all features. No payment information is required to start the trial.
- Subscription plans: After the trial period, continued use requires a paid subscription. Plans range from R999 to R1,999 per month depending on the selected tier and features.
- Billing cycle: Subscriptions are billed monthly in advance via Stripe. Payment is due on the same calendar day each month as the original subscription date.
- Price changes: We will provide at least 30 days' written notice before any price increase takes effect. You may cancel before the new pricing applies.
- Failed payments: If a payment fails, we will attempt to process it again over the following 7 days. If payment remains unsuccessful, we may suspend access to the Service until the outstanding balance is settled.
- Refunds: Subscription fees are non-refundable except where required by applicable law. If you cancel mid-cycle, you retain access until the end of the current billing period.
4. AI Features Disclaimer
The Service includes AI-powered features such as sentiment analysis, booking suggestions, guest research, and review monitoring. You acknowledge and agree that:
- AI-generated outputs (including sentiment scores, booking recommendations, and guest research summaries) are advisory only and are not guaranteed to be accurate, complete, or suitable for any particular purpose.
- You are solely responsible for all decisions made using AI-generated suggestions. YeboGuest shall not be liable for any actions taken or not taken based on AI outputs.
- AI features rely on third-party providers (Anthropic and Perplexity AI) whose services may experience interruptions, inaccuracies, or changes outside our control.
- Guest research features must be used in compliance with all applicable privacy and data protection laws. You are responsible for ensuring that your use of guest research data is lawful and proportionate.
- You may disable AI features at any time through the Service settings.
5. Data Ownership and Licence
- Your data: You retain full ownership of all data you input into the Service, including guest information, reservation records, restaurant configurations, and any other content you create or upload ("Subscriber Data").
- Licence to process: By using the Service, you grant YeboGuest a limited, non-exclusive, worldwide licence to process, store, and transmit Subscriber Data solely for the purpose of providing and improving the Service. This licence terminates when your subscription ends and your data is deleted in accordance with our Privacy Policy.
- Data export: You may request an export of your Subscriber Data at any time by contacting support@yebo-ai.com. We will provide the data in a structured, machine-readable format within 30 days.
- Aggregated data: We may use anonymised, aggregated data derived from Service usage for statistical analysis, benchmarking, and service improvement. Such data cannot be used to identify any individual Subscriber or Guest.
6. Subscriber Responsibilities
As a Subscriber, you agree to:
- Provide accurate and current business information, including restaurant details, operating hours, and table configurations.
- Maintain the security of your account credentials and notify us immediately of any unauthorised access.
- Comply with all applicable laws and regulations, including the Protection of Personal Information Act (POPIA) and, where applicable, the GDPR, in your collection and use of guest personal information.
- Ensure that any payment processing conducted through the Service complies with Stripe's terms of service and applicable payment regulations.
- Obtain any necessary consents from guests before collecting and processing their personal information through the Service.
7. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in any manner that could damage, disable, overburden, or impair the Service.
- Attempt to gain unauthorised access to any part of the Service, other accounts, or systems connected to the Service.
- Use the Service to store or transmit malicious code, viruses, or harmful data.
- Reverse-engineer, decompile, or disassemble any part of the Service.
- Use AI features to generate content that is defamatory, discriminatory, or in violation of any person's rights.
- Resell, sublicense, or redistribute the Service or any part thereof without our prior written consent.
- Use automated scripts, bots, or scrapers to access the Service beyond normal API usage.
- Circumvent any rate limits, access controls, or security measures implemented in the Service.
8. Intellectual Property
The Service, including all software, code, design, documentation, branding, and trademarks, is the property of Yebo-AI (Pty) Ltd. You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Service for its intended purpose during your active subscription. This licence does not transfer any ownership rights to you.
9. Limitation of Liability
To the maximum extent permitted by applicable law:
- The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
- YeboGuest shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Service, including but not limited to loss of revenue, bookings, data, business opportunity, or goodwill.
- YeboGuest shall not be liable for any loss or damage resulting from: (a) AI feature outputs or recommendations; (b) service interruptions or downtime; (c) errors or inaccuracies in third-party services including Stripe, AWS, Anthropic, Perplexity AI, or Google; or (d) unauthorised access to your account resulting from your failure to maintain account security.
- In no event shall YeboGuest's total aggregate liability exceed the lesser of: (a) the amount paid by you for the Service in the twelve (12) months preceding the claim, or (b) R20,000.
- Nothing in these Terms excludes or limits liability for fraud, gross negligence, or any liability that cannot be excluded under South African law.
10. Service Availability
- The Service is provided on a best-effort basis. We target high availability but do not guarantee any specific uptime percentage or service level agreement (SLA) unless separately agreed in writing.
- We may perform maintenance, updates, or modifications to the Service at any time. Where possible, we will provide advance notice of scheduled downtime via email or an in-app notification.
- The Service depends on third-party infrastructure (AWS, Stripe, Anthropic, Perplexity AI, Google) whose availability is outside our control.
11. Termination
- By you: You may cancel your subscription at any time through the Service settings or by contacting support@yebo-ai.com. Cancellation takes effect at the end of the current billing period.
- By us: We reserve the right to suspend or terminate access to the Service if you breach these Terms, fail to pay subscription fees, or engage in conduct that we reasonably believe is harmful to the Service or other users. We will provide reasonable notice where circumstances permit.
- Effect of termination: Upon termination, your access to the Service will cease. Your data will be retained for 90 days to allow for reactivation or export, after which it will be permanently deleted in accordance with our Privacy Policy.
- Survival: Sections 5, 8, 9, 12, and 13 survive termination of these Terms.
12. Governing Law and Disputes
These Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of the Republic of South Africa.
Before initiating legal proceedings, the parties agree to attempt to resolve any dispute through good-faith negotiation for a period of at least 30 days from written notice of the dispute.
13. Indemnification
You agree to indemnify and hold harmless Yebo-AI (Pty) Ltd, its directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your breach of these Terms; (c) your violation of any applicable law; or (d) your use of AI-generated outputs in a manner that infringes on the rights of any third party.
14. Modifications to Terms
We may modify these Terms at any time. Material changes will be communicated via email to the Subscriber's registered email address and through a notice within the Service at least 30 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree to revised Terms, you may cancel your subscription before the changes take effect.
15. General Provisions
- Entire agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and YeboGuest regarding the Service.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
- Waiver: Failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
- Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
